Hayes Law Firm, PLLC is a boutique corporate law practice that focuses on the legal needs of early-stage technology start-ups. The Firm was founded in 2013 to provide an affordable and flexible option to companies and individuals looking to move away from the costly and cumbersome large law firm model.
Hayes Law Firm, PLLC provides a broad range of services related to technology start-up formation and operation including entity organization, creating equity plans and handling employment issues, and negotiating and obtaining financing.
Benjamin Hayes, the founding principal of the Firm, has worked with law firms in Houston, Washington, D.C., New York, Tokyo, and Osaka in fields including international intellectual property licensing contracts, insurance litigation, bankruptcy, and large-scale products liability and securities litigation. He is also General Counsel of Big Apple Py, Inc., a New York Not-for-Profit corporation (with pending federal 501(c)(3) status) that promotes Python programming language education and community in New York City through running the NYC Python and Flask-NYC Meetup groups. Ben is admitted to practice law in New York and is a member of the New York State Bar Association, the New York County Lawyers’ Association, the Japanese American Lawyers Network, and the Roppongi Bar Association.
The Firm provides all the legal services a start-up needs to get off the ground and grow, including areas such as corporate formation and governance, employment issues, and securities and financing.
We help you understand the tax and liability features of the various entities available for your business (LLC, C-Corporation, S-Corporation) and help you choose the right one for your needs. We handle all aspects of entity formation, including publication of notice and application for authority to do business in New York for foreign entities.
Whatever entity you choose for your business, your governing documents (operating agreement or by-laws) will be some of the most important documents you have, so it's important that they be tailored to your needs. We prepare governance documents to enable your business to operate on your desired terms while minimizing risk, conflict, and liability.
Whether you need an employee offer letter drafted or a commercial lease reviewed, we can prepare the right contracts to best protect you and your business.
h2Equity is the heart of any business, and equity compensation is one of the key tools available to young start-ups for attracting and retaining talent. From founders’ agreements to employee stock option plans we draft equity agreements that achieve your business goals and protect your interests.
Eventually your business will require funding to grow and improve. We can walk you through the world of seed/angel rounds, venture capital financings, preferred stock agreements, convertible notes, and other aspects of start-up financing to help create arrangements that provide your business the resources and protection that it needs.
The Firm is committed to helping start-ups achieve their goals, not make them go broke. We work with a variety of clients from VC-funded startups to bootstrapping pre-seeds to non-profits. We know that everyone's financial situation is different, and strive to provide flexible pricing and payment structures that make good business sense for all of our clients. We strive to combine the high-quality work product and professionalism of a big firm with the client-centered personal interaction and competitive hourly rates of a boutique.
Many of our most common services are available at flat rates to help take the guesswork out of budgeting. For larger engagements, we offer partial deferred payment plans or other arrangements to meet your needs. For ongoing engagements, we offer outsourced general counsel services subscription packages. For a monthly fee, you can retain us to review and draft contracts, provide legal advice, and act as your company's general counsel.
